1. Acceptance of Terms

By accepting the estimate provided by Family Chimney Sweeps LLC (“Business”), the client (“Client”) agrees to be bound by these Terms & Conditions. These terms govern the relationship between the Business and the Client (each, a “Party,” and collectively, the “Parties”).

2. Services and Pricing

The Business agrees to perform the services detailed in the accepted Estimate/Invoice. The Client agrees to pay the total amount listed, including applicable sales tax.

3. Scope of Work

The Business will perform only the services explicitly described in the accepted Estimate/Invoice. Any additional services requested by the Client require a separate written estimate and may incur additional charges or schedule changes.

4. Payment Terms
• Down Payment: A minimum of 50% of the total is due:
• At least 60 days before the scheduled service date, or
• If less than 60 days remain, within 7 days of accepting the estimate.
• Ordering Materials: Materials will be ordered after receipt of the down payment. If the Client cancels after materials have been ordered, the down payment is non-refundable.
• Refund Policy: If the Client cancels within 7 days of payment and no materials have been ordered, a refund will be issued. After 7 days, no refund will be given.

5. Final Payment

The remaining balance is due upon substantial completion of the work. Full payment must be received within ten (10) calendar days of substantial completion. If payment is not received within this time frame, a late fee of $50.00 will be assessed. An additional $50.00 late fee will accrue for every thirty (30) calendar days the balance remains unpaid.

If the balance remains unpaid after seventy-five (75) days, a mechanic’s lien will be filed against the property where services were rendered, in accordance with applicable state laws.

If the balance remains unpaid after ninety (90) days, the account will be referred to a licensed collection agency. The Client will be held responsible for:
• Collection agency fees (up to 35% of the outstanding balance)
• Attorney’s fees incurred in the collection process
• All other reasonable costs associated with the enforcement of this payment obligation

6. Payment Methods

Payments may be made by cash, check, or credit card (as accepted by the Business). Returned checks are subject to a $30 fee.

7. Scheduling

Appointments may be canceled or rescheduled by the Business if the down payment is not received on time. Rescheduling is subject to availability.

8. Access Requirements

The Client agrees to provide safe, unobstructed access to the work area on scheduled dates. Failure to provide access may result in cancellation, rescheduling, and a service fee.

9. Photographic Documentation

The Business may take photos or video of the worksite before, during, and after service for documentation, quality control, or marketing purposes. No personally identifiable information will be disclosed.

10. Warranty

The Business provides a limited warranty on labor for a period of [12 months] following substantial completion. This warranty does not cover:
• Misuse, neglect, or improper maintenance
• Natural disasters or acts of God
• Alterations or repairs not performed by the Business

11. Right to Refuse Service

The Business reserves the right to refuse or terminate service if:
• Conditions are unsafe, illegal, or unsanitary
• The Client is uncooperative, threatening, or abusive

12. Client Responsibilities

The Client must ensure the work area is clear of hazards, debris, and obstacles. Pets, valuables, and breakables must be secured. The Business is not responsible for damage caused by failure to prepare the area.

13. Environmental Conditions & Pre-Existing Defects

The Business is not liable for pre-existing damage or structural issues discovered during service. Any required repairs beyond the original scope will be communicated separately.

14. Security Interest

The Business retains a security interest in all materials and products installed or delivered until the balance is paid in full.

15. Licensing and Compliance

The Business affirms it holds all licenses required by federal, state, and local law to perform the services and will comply with all applicable regulations.

16. Limitation of Liability

The Business shall not be liable for indirect, incidental, or consequential damages, including loss of profits. Total liability will not exceed the amount paid by the Client for the services giving rise to the claim.

17. Force Majeure

The Business is not responsible for delays or failure to perform due to events beyond its control, including but not limited to acts of nature, supply issues, labor strikes, or government actions.

18. Termination

Either Party may terminate this Agreement before completion. The Client remains responsible for payment of all work performed and costs incurred to date, not to exceed the total listed in the Estimate/Invoice.

19. Dispute Resolution

If a dispute arises, the Parties agree to attempt resolution through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association, in the State of Michigan.

20. Governing Law

This Agreement is governed by the laws of the State of Michigan, without regard to conflict of law principles.

21. Entire Agreement

This Agreement represents the entire understanding between the Parties, superseding any prior discussions or agreements. No amendment is valid unless made in writing and signed by both Parties.

22. No Waiver

Failure to enforce any part of this Agreement does not waive the right to enforce any other part at a later time.

23. Severability

If any provision is found invalid or unenforceable, the remaining terms shall remain in full force and effect.
